Senior Contracts & Legal Manager
(all genders)
The Senior Contracts & Legal Manager is responsible for driving business as usual, as well as leading specific projects within the Commercial Operations group in Germany. This role has two primary focus areas:

Establish and maintain the contracts and legal management processes in Germany. These processes are managed by what is called the Commercial Operations function. This role will connect with local stakeholders of Adaptavist who are in Germany (for example, HR, sales and operational people). This role also means tailoring of contract templates, procedures, applicable terms for the local Germany and DACH market. Therefore, this role requires being part of, and harmonizing with, the global Commercial Operations function, but also exploring and leading the development of the function in Germany.

Manage day to day business regarding contract negotiation and management, liaising with various business entities, clients, subcontractors and suppliers. This role is expected to lead certain engagements in DACH, but may also support engagements that may be conducted in EMEA, or other geographies. This role will accept accountability for legal contracts and advise the function head as well as executives on unusual and exceptional legal requirements.
Contracts and Documentation

Review and “redlining” of contracts, including resolution of challenges and queries from counterparties (such as clients).

Signature of contracts of significant size, with recommendations to Head of Commercial Operations, and potentially COO and CEO for additional contracts.

Management of information related to contracts (clients, partners, suppliers), and within internal contractual IT systems. Knowledge management and enforcement of processes.

Ability to work with process specialists who manage IT systems and knowledge (i.e. document repositories, FAQs, and wikis) associated with contracts and legal support.

Providing “peer reviews” of contract reviews that colleagues provide, and requesting such peer reviews to support a robust, quality-driven process.

Reviewing documentation that forms part of various strategic sales, partnerships, or acquisitions.
Functional Leadership

Supporting special projects such as ensuring GDPR compliance where relevant in Germany operations.

Leading the further development of the Commercial Operations business function within a growing company.

Engaging in direct dialog on occasion with clients, partners, and vendors via calls and written correspondence.

Updating systems to ensure KPIs are up-to-date, and participation in periodic 1:1 reviews.
Essential
-
Exposure to contracts, particularly in sales and procurement environments, including driving opportunities from start to finish. Experience reviewing and revising contracts, and at least on occasion drafting from scratch.

Excellent written and verbal communication skills (English + German).

Excellent ability to analyze contracts, commercial proposals and transactions, and identify business issues.

Experience analyzing business processes for efficiency.

Use of enterprise software tools (examples might include SharePoint, JIRA, Excel, Google Sheets, Salesforce.com, etc). Solid mechanical and analytical ability, and ability to break down problems.

Educated to degree-level (or equivalent), or with strong industry experience. Legal degree is advantageous, but not required.

Exposure to working across multiple countries, and ability to work individually or as part of a geographically distributed team.

A quick and efficient learner with forensic attention to detail.

Demonstrate the ability to work to deadlines and under pressure.

An ability to think innovatively and creatively.

Can-do attitude; flexible and positive. Values honesty in work.

- Experience managing a business function or a small team.
